Terms of Service

Please read these Terms of Service ("Terms") carefully before using the VOX Voice AI Platform operated by Scandeer LLC ("Company", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using any part of the Service, you represent that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

2. Description of Service

VOX is a multi-tenant voice AI platform that enables businesses to deploy conversational AI agents across web (WebRTC widget), telephone (SIP/IVR), and messaging (WhatsApp) channels. The platform includes agent configuration, knowledge base management, analytics, and API access.

3. Accounts and Registration

  • You must provide accurate, current, and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • Each tenant account is responsible for all activities that occur under that account, including actions by invited team members.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit spam, unsolicited communications, or harassing content
  • Impersonate any person or entity or misrepresent your affiliation
  • Deploy agents that deceive end-users into believing they are speaking with a human without appropriate disclosure
  • Process sensitive personal data (health records, financial credentials, government IDs) without appropriate data handling agreements
  • Reverse-engineer, decompile, or attempt to extract the source code of the platform
  • Use the Service to train competing AI models without prior written consent
  • Conduct load tests or stress tests without prior written approval

5. AI Disclosure Requirement

You are responsible for ensuring that end-users interacting with your deployed voice agents are clearly informed they are speaking with an AI system. Failure to provide adequate disclosure may violate applicable consumer protection laws and is grounds for account termination.

6. Billing and Payments

  • Subscriptions are billed monthly or annually, in advance, via Stripe.
  • Usage-based charges (API calls, voice minutes, storage) are billed in arrears.
  • All fees are non-refundable except as required by applicable law or at our sole discretion.
  • We reserve the right to change pricing with 30 days notice to registered users.
  • Failure to pay may result in service suspension after a 7-day grace period.

7. Intellectual Property

The VOX platform, including all software, design, logos, and documentation, is owned by Scandeer LLC and protected by copyright and other intellectual property laws. You retain ownership of your agent configurations, knowledge base content, and conversation data. You grant us a limited license to process your data solely to provide the Service.

8. Data and Privacy

Your use of the Service is governed by our Privacy Policy and Data Use Policy, incorporated herein by reference.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANDEER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Scandeer LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Service, your violation of these Terms, or your deployment of voice agents to end-users.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or conduct we determine to be harmful to the platform or other users. You may cancel your account at any time from the Billing settings page.

13. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules.

14. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days notice of material changes via email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
